General principles of the Code of Business Conduct and Ethics

The Code of Business Conduct and Ethics sets forth legal and ethical standards and applies to all members, officers, and full time and part time Employees of Integra. This Code is a living document that will evolve over time as we continue to apply the best practices and principles to the often complex issues of business ethics. However, as we change and adapt, the organization’s commitment to integrity and sound judgment will ever remain constant. This Code is a general statement of expectations for individual and business conduct. It is not intended to and does not in any way constitute an employment contract or assurance of continued employment, and does not create any legal rights in any employee, client, supplier, competitor or any other person or entity. Integra strives to be a good corporate citizen wherever it conducts business and will comply with all laws and regulations.

1. LEGAL COMPLIANCE
All directors and senior management employees of the Company shall at all times ensure compliance with all the relevant laws and regulations affecting operations of the Company. They shall be abreast of the affairs of the Company and be kept informed of the Company's compliance with relevant laws, rules and regulations. In the event that the implication of law is not clear, the course of action chosen must be supported by eminent legal counsel whose opinion should be documented.

2. WORKING ENVIRONMENT
Integra seeks to provide a work environment that will attract and retain highly talented people and help them attain their full potential. Every Employee in Integra is responsible for creating a climate of mutual trust and respect. Managers and supervisors should make all decisions relating to the employment relationship, including hiring, training, promotion, compensation, transfers, layoffs and team membership, without regard to gender, age, physical or mental disability, religious creed, sexual orientation, racial background, pregnancy, national origin, caste, political affiliation or regional origin. Integra is committed to ensuring safe and healthy working conditions for all Employees. All the Employees are responsible for complying with safety rules and regulations. Everyone should ensure compliance with all relevant employment laws and regulations in the various regions in which Integra operates. Integra endeavors to create a positive work environment for its employees. As a result, it prohibits :

  • engaging in any hostile physical contact, intimidation, threats, violence or possession of weapons of any kind while on company premises, at a company-sponsored event or while representing the company outside the workplace.

3. INFORMATION AND COMMUNICATION SYSTEMS
Integra encourages the use of information and communication systems and makes them widely available to its Employees. However, Employees are required to use these systems responsibly and appropriately, including adhering to the company’s policy on information technology, including anti-virus protection policies. The information and communication systems of Integra may not be used for

  • unlawful activities,
  • visiting internet sites that contains sexual content,
  • Political / Religious / commercial purposes that interfere with their employment or other obligations to Integra,
  • giving the impression that Employees are making statements on behalf of the company, unless authorized to do so,
  • sending chain letters or unsolicited electronic messages (Aca‚A“spam‚AOCH) that cause interference with use of these systems by others, or
  • using the systems in any other way that interferes with an EmployeeAca‚A“spam‚AOCH productivity and / or that of their colleagues. Employees shall not make, acquire, or use unauthorized copies of software, as illegal possession of software can result in civil damages or criminal penalties including fine and imprisonment.

4. FAIR DEALING WITH CUSTOMERS AND SUPPLIERS
Integra is committed to dealing fairly with its business partners, relying on the merits of products, services and people. In dealing with business partners, Employees are expected not to show any favor or preference to any person or business based on anything other than the best interests of Integra. Employees should not let business dealings on behalf of Integra be influenced by their personal or family interests.

Integra is committed to free competition and aims to succeed in different markets by encouraging competition and relying on the high quality and competitiveness of its products and services. Employees are expected to conduct operations in accordance with these principles of competition and all applicable competition laws and regulations. Violation or infringement of competition laws are punishable by fines imposed on Integra and on the individuals involved and can result in claims for damages. Competition law violations can also lead to costly diversion of management time and effort, and to substantial adverse publicity that could injure Integra’s reputation. Further, in certain jurisdictions, serious violations such as agreements to fix prices, rig bids or share a market with a competitor are punishable by prison sentences for the individuals involved.

5. SAFETY, HEALTH AND ENVIRONMENT
Integra is committed to making continuous improvements in the management of its environmental impact and to the long-term goal of developing a sustainable business. Employees should work to promote environmental care, increase understanding of environmental issues and inculcate good environmental practices. Employees should ensure compliance with all statutory and other legal requirements relating to the environmental impacts of Integra’s business. Integra considers safety, health and environment protection as an integral part of its business. Integra is committed to protecting the environment in which it operates and ensuring the health and safety of its Employees, contractors, visitors and community.
